Seller Terms and Conditions
Terms applicable to all selling activities on Kalis Market

Preamble
These Seller Terms and Conditions ("Seller Terms") govern the contractual relationship between Kalicertif SAS and any seller (artist, creator, gallery, or professional) wishing to sell their products on the Kalis Market platform. By creating a seller account and listing products, the seller unconditionally accepts these terms.
1. Platform Operator Identification
The Kalis Market platform is published and operated by:

2. Eligibility Conditions and Registration
2.1. Eligibility Criteria
To become a seller on Kalis Market, the candidate must:
- Be of legal age (18 minimum) and legally competent
- Have a valid SIRET number (professionals) or be self-employed
- Provide a valid ID document
- Accept these Seller Terms and the Terms of Use
- Have a bank account in the seller's name to receive payments
2.2. Registration Process
Registration is by invitation or validated request by the Kalis Market team. The seller must provide the following documents:
- Copy of ID card front and back
- Proof of address less than 3 months old
- Business registration certificate (if applicable)
- Bank details in seller's name
2.3. Identity Verification
Kalis Market reserves the right to conduct a thorough identity verification and to suspend or refuse any registration in case of doubt about the authenticity of the information provided.
3. Authorized and Prohibited Products
3.1. Authorized Categories
Kalis Market accepts the following product categories:
- Original artworks (paintings, sculptures, art photography)
- Certified limited editions
- Authenticated collectibles
- Luxury products with certificate of authenticity
- Certified industrial items (watches, jewelry)
3.2. Prohibited Products
Strictly prohibited from sale:
- Counterfeits or unauthorized copies
- Products infringing intellectual property rights
- Illegal, dangerous items or contrary to public order
- Products of a pornographic, violent or discriminatory nature
- Live animals or parts of protected animals
3.3. Authenticity Obligation
The seller guarantees the authenticity of all products offered for sale. For artworks and collectibles, a digital certificate of authenticity secured by blockchain will be automatically generated by Kalis Market. The seller commits to providing all documentation proving the provenance and authenticity of the product.
4. Commissions, Remuneration and Payments
4.1. Commission Structure
First Sale of a Product
- Kalis Market Commission : 5% of the sale price excl. VAT
- Paid by: Buyer (added to displayed price)
- The seller receives: 100% of the displayed sale price
Example : Product displayed at €1000 → Buyer pays €1050 (€1000 + 5%) → Seller receives €1000
Resale on Secondary Market
- Total Commission : 7,5% of the resale price
- Breakdown:
- 5% → Original creator (permanent royalties)
- 2,5% → Kalis Market (platform fees)
- Paid by: Buyer
Example : Resale at €2000 → Buyer pays €2150 → Original creator receives €100 (5%) → Kalis Market receives €50 (2.5%) → Reseller receives €2000
4.2. Cascading Referral System
Sellers can benefit from a 3-level referral system, generating commissions on their referrals' sales:
Level 1 - Direct Sponsor (direct referral)
- Referral's first sale : 2% of amount (max €50/transaction)
- Referral's resale : 1% of amount (max €50/transaction)
Level 2 - Sub-referral (referral of referral)
- First sale : 0,75% of amount (max €50/transaction)
- Resale : 0,5% of amount (max €50/transaction)
- Condition: Sponsor must have ≥1 active referral in the last 90 days
Level 3 - Sub-sub-referral
- First sale and resale : 0,25% of amount (max €50/transaction)
- Condition: Sponsor must have ≥1 active referral in the last 90 days
Note: The referral system is optional. Commissions are calculated automatically and paid with regular payments.
4.3. Payment Terms
- Frequency : Weekly or monthly (according to seller preferences)
- Minimum balance required : 100€ to trigger a payout
- Processing time : 2-5 business days
- Supported currencies : EUR, USDT, BTC, ETH
- Payment methods : SEPA transfer, PayPal, Crypto-wallet
4.4. Withholding in Case of Dispute
In case of buyer complaint or ongoing dispute, Kalis Market reserves the right to withhold the corresponding payment for a maximum of 30 days after dispute closure, pending verification of resolution.
5. Blockchain Authenticity Certificates and Royalties
5.1. Automatic NFT Certificate Generation
Each product sold on Kalis Market comes with a digital certificate of authenticity in the form of an NFT (Non-Fungible Token) secured by blockchain. This certificate contains:
- Identity of the original creator
- Creation date and first sale date
- Cryptographic hash of evidence (images, documents, C2PA metadata)
- Complete ownership history (traceability)
- Permanent royalty conditions
5.2. Seller Rights on Certificate
The seller agrees that:
- Kalis Market has the exclusive right to generate and store this NFT certificate on the blockchain
- The buyer receives the certificate transfer rights upon purchase
- The certificate is permanently linked to the physical or digital product
- The original seller retains moral rights (authorship of the work)
5.3. Permanent Royalties on Resales
Perpetual Royalty Clause
The original seller automatically receives 5% of each resale of their product, indefinitely and regardless of the number of future transactions. This royalty clause is written into the NFT certificate smart contract and applies even in case of:
- Seller account closure
- Certificate transfer outside Kalis Market platform
- Sale on a compatible third-party platform
- Private transaction between individuals
Important: Royalties are automatically paid to the wallet address or bank account linked to the original seller. The seller must keep their payment details up to date.
6. Escrow System and Transaction Security
6.1. Blockchain Escrow Operation
For all transactions of authentic physical products (art, luxury, collectibles), Kalis Market uses an automated escrow system via smart contract that guarantees transaction security for both seller and buyer:
Escrow process steps:
- T+0 - Purchase and Lock
- The buyer makes the payment
- Funds are locked in the escrow smart contract
- The seller's NFT certificate is temporarily locked
- T+0 à T+3j - Shipping
- The seller has a maximum of 3 days to ship the product
- Tracking number must be provided within 24h
- Non-shipment results in automatic cancellation and buyer refund
- T+3j à T+14j - Delivery and Cooling-off Period
- The buyer receives the product
- Legal cooling-off period: 14 days
- The buyer can manually confirm receipt (early release)
- T+14j - Automatic Release
- If no dispute is opened, funds are automatically released to the seller
- The NFT certificate is permanently transferred to the buyer
- The seller receives payment (minus commissions)
6.2. Escrow Dispute Management
In case of dispute (non-compliant, damaged, or unreceived product), an arbitration procedure is initiated:
- Funds remain locked in escrow for the duration of the dispute
- Kalis Market may request additional evidence (photos, videos, expert assessments)
- Maximum resolution time: 30 days
- In case of proven seller fraud, the account may be suspended and funds refunded to the buyer
6.3. Seller Responsibility
The seller commits to shipping the product in the exact condition described in the listing, with secure packaging and appropriate insurance. Any attempt at fraud (sending a different product, counterfeit) results in:
- Immediate closure of seller account
- Confiscation of escrowed funds
- Possible legal action
- Listing on shared blacklist (fraud prevention)
7. Intellectual Property and Copyright
7.1. Seller Rights
The seller retains all copyright and intellectual property rights to works and products sold via Kalis Market. The sale of the physical or digital product does NOT automatically transfer reproduction rights, unless explicitly stated otherwise in the product description.
7.2. License Granted to Kalis Market
By listing a product, the seller grants Kalis Market a non-exclusive, worldwide, royalty-free license to:
- Display the product and its images on the Kalis Market platform
- Create previews, thumbnails and optimized variations for different devices
- Use in marketing content (newsletters, social media) with opt-out option
- Archive for sales history and blockchain traceability
The seller may at any time request removal of their images from marketing content by sending an email to marketing@kalis.market.
7.3. Anti-Counterfeiting Verification and C2PA System
For products requiring authenticity verification (artworks, luxury items), Kalis Market may:
- Request authentication documents (certificate of origin, purchase invoice, expert assessment)
- Use the C2PA system (Coalition for Content Provenance and Authenticity) to verify digital provenance
- Call on third-party experts for validation (costs borne by seller if counterfeit detected)
- Refuse listing if serious doubt about authenticity
Anti-Counterfeiting Clause
The seller guarantees that all products listed for sale are authentic and do not infringe third-party intellectual property rights. In case of proven counterfeiting, the seller is subject to legal action and agrees to indemnify Kalis Market for any damages suffered.
8. Suspension, Account Closure and Termination
8.1. Grounds for Temporary Suspension
Kalis Market reserves the right to temporarily suspend a seller account in the following cases:
- Repeated buyer complaints (≥3 disputes in 30 days)
- Non-compliance with shipping deadlines (≥3 delays in 30 days)
- Serious doubt about product authenticity (verification in progress)
- Failure to provide required verification documents
- Suspicion of fraudulent activity or money laundering
During suspension, the seller cannot list new products but retains dashboard access to process ongoing orders.
8.2. Grounds for Permanent Account Closure
The seller account will be permanently closed in case of:
- Proven sale of counterfeits
- Confirmed fraud (fake certificates, false evidence)
- Repeated non-shipment (≥3 orders canceled for non-shipment)
- Serious violation of Seller Terms or Terms of Use
- Illegal activities (money laundering, terrorism financing, etc.)
- Identity theft or false declaration
8.3. Consequences of Account Closure
- Deletion of all active listings
- Blocking of seller dashboard access
- Payment of remaining balance (if no pending claims) within 30 days
- Retention of transaction data for 10 years (legal obligation)
- Permanent royalties remain active: The seller continues to receive 5% on future resales even after account closure
8.4. Voluntary Termination by Seller
The seller may at any time request account closure by sending an email to seller-support@kalis.market. The following conditions apply:
- All ongoing orders must be completed
- No ongoing disputes
- Notice period: 30 days
- Payment of final balance within 14 days after closure
- Permanent royalties continue to be paid
8.5. Right to be Forgotten and Data Deletion
In accordance with GDPR, the seller may request deletion of their personal data 10 years after the last transaction. Transaction data (invoices, NFT certificates, blockchain history) cannot be deleted due to legal and tax obligations.
9. Disputes, Claims and Mediation
9.1. Seller Complaint Process
In case of problem with a buyer, delayed payment or any other difficulty, the seller must follow the following process:
- Contact seller support: seller-support@kalis.market
- Provide all necessary evidence (emails, photos, tracking numbers)
- Response time: 48h maximum (business days)
- Amicable resolution sought as priority
9.2. Consumer Mediation
In accordance with Article L.616-1 of the Consumer Code, in case of unresolved dispute, the seller may refer the matter free of charge to the following consumer mediator:

9.3. Kalis Market Arbitration
For disputes related to escrow transactions, Kalis Market may intervene as a neutral arbitrator. The arbitration team will analyze the evidence provided by both parties and render a decision within a maximum of 30 days.
9.4. Applicable Law and Jurisdiction
These Seller Terms are subject to French law. In case of dispute not resolved by mediation, French courts will have sole jurisdiction.
10. Personal Data Protection (GDPR)
10.1. Data Collected
As part of selling activity on Kalis Market, the following data is collected:
- Identity: Last name, first name, date of birth, ID
- Contact details: Postal address, email, phone
- Banking data: Bank details, PayPal credentials, crypto-wallet addresses
- Professional data: Business registration number, VAT number
- Transaction data: Sales history, commissions, disputes
10.2. Processing Purposes
- Seller account management and identity verification
- Payment and payout processing
- NFT certificate generation and management
- Fraud prevention and regulatory compliance (KYC/AML)
- Customer support and dispute resolution
- Marketing communications (with opt-in consent)
10.3. Seller Rights
In accordance with GDPR, the seller has the following rights:
- Right of access to personal data
- Right to rectify incorrect data
- Right to erasure (right to be forgotten) after 10 years
- Right to data portability
- Right to object to processing (except legal obligations)

11. Amendments to Seller Terms
Kalis Market reserves the right to modify these Seller Terms at any time. Amendments will take effect 30 days after notification by email to the seller's address.
In case of substantial modification (commissions, royalties, payment terms), the seller may refuse the new conditions and request account closure within 30 days. After this period, continued selling activity will constitute acceptance of the new Terms.
